Association of surveying &designing
Chapter One: General
Provisions
Article 1: Name of Body: Ningbo Association
of surveying & designing (hereinafter called Association).
Article 2 Nature: The Association is a
citywide non-profit corporation, which is co-sponsored willingly
by engineering exploration and design organizations and personages
with career of exploration and designing of the city.
Article 3 Purposes: Under the guidance of
Deng Xiao ping Theory and Jiang Ze min¡ä
s theory of ¡°Three
Representatives¡±,
abide by the laws and regulations of the state, carry our national
guidelines and policies, abide by social moral fashion, under the
authorization of construction administration department of the
city,do well the management of exploration and design industry,
improving and advancing the technology development and modern
management standard, reflecting the advice and suggestion from the
members, serve member organizations, safeguarding the lawful
rights and interests of exploration and design industry, brings
the link and bridge function between construction administration
department and exploration and design industry.
Article 4 The Association shall accept the
professional guidance, supervision and management by city
Construction Administration Department, city commonalty
registration and management office, shall have the legal person
status of a social group.
Article 5 Seat of Association: Foor2, west
podium building, Tian Zhi Hai building, No59 Lao Shi Xiang alley,
Ningbo.
Chapter Two :Scope of Work
Article 6 Scope of Work of the Association:
1. To assist City Construction
Administration Department in researching and formulating policies
and regulations including development program, regulation system,
regulation methods of exploration and design industry by providing
suggestion and related references.
2. To assist City Construction
Administration Department in strengthening exploration and design
industry administration and deepen the innovation of exploration
and design system.
3. To assist City Construction
Administration Department in carrying out and establishing
exploration and designing quality supervision mechanism,
strengthening quality control.
4. To carry out market survey on market
operation and quality status of exploration and design
organization inside administrative region of the city, and put
forward suggestion and advice to government administration
department.
5. To liaise closely with and direct member
organization, improve team competence, advance technology
improvement, enhance management standard, improve equipment level,
transfer technology information, train personnel, edit and publish
association information, organize technology exchange of
exploration and design Industry, carry out consultation service,
and etc.
6. Strengthening
socialism spiritual civilization construction of exploration and
design industry: formulate industry regulations, actively carry
out education on professional ethics and thoughts, put forward
activities to appraise and choose excellent, and other activities
benefit to the development of the industry.
7. To deal with concerned matters authorized
and entrusted by city construction administration department, and
carry out other activities to boost the development of the
industry.
Chapter Three: Membership
Article 7 the membership of the Association
shall consist of group members and individual members.
Article 8 Qualifications for
Membership:
1.endorse the Association¡¯s statute;
2.have the desire to join the Association;
3.A group member must have ¡°engineering
exploration and design certificate¡± required by the State
Regulation.
4. An individual member must have
considerable influence in the business (Industry, subject) of the
Association.
Article 9 The Affiliation of Membership:
1. Submitting
the application for joining the Association;
2. Approved
in the executive council meeting;
3.
The issuance of the membership card by the institutes,
which is authorized by the council or organs authorized by the
council (or Association Office).
Article 10 Members of the Association are
entitled to have the following rights:
1. The right to elect and to be elected;
2. Participating the activity of the
Association;
3. Having the priority in receiving the
service provided by the Association;
4. Having the priority to have the
periodicals, data and information;
5.Supervising the performance of the
Association and giving criticisms and suggestions;
6. Being recommended or assigned by the
Association, to take part in relevant meetings and activities in
and outside the country;
7. Having the freedom to join and withdraw
from the Association.
Article 11 Members of the Association have
following duties:
1.To participate in the activities of the
Association;
2.To carry out the resolutions of the
Association;
3.To safeguard the lawful rights and
interests of the Association;
4. To complete the work assigned by the
Association;
5. To pay membership dues as stipulated;
6. To report to the Association and provide
relevant information;
7. Pay attention to the work of the
Association, keep in regular contact with the Association,
actively write papers for association information, and provide
information regarding administration and technology;
8. A group member should designate one
employee as the liaison person to take part in the activity of the
Association.
Article 12 Providing a council member or
with higher posts change its work (change or retired), its post of
the association should be replaced by person recommended from his
original organization, and replaced after being ratified by the
council meeting.
Article 13 Members who want to quit the
Association shall notice the Association in written form, and
surrender their membership cards. If a member does not pay the
membership fee or do not take part in the activities of the
Association for one year, it is regarded automatically that it
quits the membership.
Article 14 If a member¡¯s behavior
seriously violates the Statute of the Association, its membership
will be removed after approved by the executive council.
Chapter Four: Organizational Structure and
Produce and Recall of Leading Officials
Article 15 The highest authority of the
Association is the general assembly. The general assembly has the
following powers:
1.to stipulate and amend the Statute of the
Association;
2.to elect and recall the directors;
3.to review and approve the working report
and financial report of the council;
4.to discuss and determine the policies and
tasks of the Association;
5. to decide matters of termination.
Article 16 The general assembly shall be
held by the attendance of more than two thirds of the members (or
member representatives). The resolution of the general assembly
shall come into effect after approved by more than half of the
attendants (or member representatives).
Article 17 The session for general assembly
is four year. To exchange in advance or late for special
circumstances must be approved at the meeting of the council,
report to the city administration department for inspection, and
ratified by the city commonalty registration and management
office. But the extended time for exchange shall not exceed one
year.
Article 18 The council is the executive
organ of the general assembly, which leads the day-to-day work of
the Association when the general assembly is not in session and is
responsible to the general assembly.
Article 19 The council shall have following
power:
1.to carry out the resolutions of the
general assembly; 2.to elect or recall the president, the
vice-president and the secretary-general;3.to prepare for the
convening of the general assembly;4.to report to the general
assembly on its work and the financial situation;5.to approve of
the affiliation or termination of membership of the
Association;6.to decide on the setting up of the working bodies,
branch organizations and entity organs;7.to approve of the
appointment of the deputy secretaries-general and the chief
officers of the various organs;8.to lead the various organs in
carrying out their work;9. To formulate systems for internal
management;10. To decide on other major issues.
Article 20 Council meetings shall be held
with the attendance of at least two-thirds of the council members.
And its resolutions shall be adopted and take effect by a vote of
at least two-thirds of the council members present at the meeting.
Article 21 Council meetings shall be held
once every year, and under extraordinary circumstances, meetings
may also be held in the form of correspondence.
Article 22 The association shall set up the
executive council which shall be elected by the council, and have
the functions and powers of the council when the council is not in
session and be responsible to the council. The number of the
executive council members should not exceed one third of the
number of council members.
Article 23 Executive council meetings shall
be held with an attendance of at least two-thirds of the executive
council members. Its resolutions shall be adopted and take effect
by a vote of at least two-thirds of the executive council members
present at the meeting.
Article 24 Executive council meetings shall
be held once every half-year, and under extraordinary
circumstances, meetings may also be held in the form of
correspondence.
Article 25 The president, vice president and
general secretary of the Association must satisfy the following
requirements: 1.Persisting the route, guiding principles and
policies of the party; possessing fine political quality; 2.to be
honest, fair and integrity, have strong organizational ability;
3.to be engaged in exploration and designing industry for at least
8 years, and have considerable influence in the association
(Industry). 4. Healthy and could work persistently.
Article 26 The president, the vice-president
and the secretary-general are elected for a term of four years,
and may be reelected for the second term, but generally not exceed
2 terms.
Article 27 The president of this association
shall be the legal representative of the Association.
Article 28 The president of the Association
shall perform the following obligations and rights:1. To summon
and preside over meeting of the council meeting, and executive
council meeting. 2. To inspect the executive situation of the
resolutions approved by the general assembly, council meeting and
executive council meeting.3. To sign relevant important files on
behalf of the Association.4. To examine and approve various
internal managerial systems.
Article 29 The secretary-general of the
Association shall perform the following obligations and rights:1.
To preside administrative office to carry out daily work and
organize to implement annual working program.2. To coordinate
administrative bodies, entity bodies to carry out work.3. To
nominate the secretary-general of the Association and submit the
nominees to executive council meeting for decision. 4. To put
forward the suggestion of engagement of full-time staff of
administrative bodies and entity bodies and submit it to the
president for decision. 5. To deal with other daily works.
Article 30 The Association can engage a
number of Honorary presidents and senior advisers.
Chapter 5 Use
and Management of Assets.
Article 31 Sources of the Association¡¯s
funds:1. Membership fees.2.donations.3.financial aid from the
government.4. Income from activities and services within its
approved business scope. 5. Interest.6. Other legal income.
Article 32 The Association charges
membership fee from its members in accordance with pertinent
regulations of the State.
Article 33 The assets of the Association
shall be used inside the business scope stipulated by the Statute
and for the development of the industry.
Article 34 The Association set up strict
finance management system, which ensures the legitimacy, verity,
exactness and integrity of the accounting data.
Article 35 The Association shall have
accounting personnel with professional qualification, and the
accounting personnel shall not hold concurrent post of cashier.
The accounting personnel must transact the hand-over procedure
clearly with take-over personnel when transferring or leaving the
post.
Article 36 The assets management of the
Association must executed in accordance with the finance
management system set by the State and accept the supervision of
the general assembly and the administration department.
Article 38: Any units, individuals shall not
occupy, privately divide and divert association properties to
other purposes.
Article 39: The wages, insurance, welfare
and treatment for full-time staff of the Association shall execute
by consulting relevant regulations of the State for institutions.
As for employee personnel, shall execute in accordance with
related hiring regulations of human resource market, and the
agreement signed by both parties.
Chapter Six Amendment Procedure of the Statute.
Article 40 The amendment of the statute of
the Association shall be approved by the general assembly (or
member representative meeting).
Article 41 The article after amendment shall
come into effect after approved by the council meeting and
ratified by the commonalty registration and management office
within 15 days after approved by the general assembly.
Chapter
Seven Procedure for Termination and Property Disposal after
Termination.
Article 42 When the Association is to be
cancelled because of the accomplishment of its purposes; the
executive council meeting should propose a termination motion.
Article 43 The termination motion of the
Association should be approved by the general assembly (or member
representative meeting) and also ratified by the administration
department.
Article 44 Before the termination of the
association, liquidating organ shall be established under the
direction of the administration department and other related
organizations. The liquidating organ is in charge of liquidating
debt; deal with problems arising from the termination. With
liquidating period, no other activities except for liquidating
shall be carried out.
Article 45 The Association will be
terminated after transacted the procedures for cancellation of
registration by the city commonalty registration and management
office.
Article 46 Surplus assets after the
termination of the Association shall be used for developing other
project in association with the purpose of this association
according to the relevant regulations of the State under the
supervision of the administration department and the city
commonalty registration and management office.
Chapter Eight Supplementary Provisions.
Article 47 The Statute is adopted at the
general assembly in March 13 2002.
Article
48 The executive council meeting of the association reserves the
right to explain the Statute.
Article 49 The Stature shall come into
effect on the date ratified by the city commonalty registration
and management office.
